Licence of Farnell Toolbar

1. Terms of Use of the Farnell Toolbar

Your use of the Farnell Toolbar (the Toolbar) is subject to these terms and conditions, which may be amended or added to by Farnell from time to time (these Terms). In order to use the Toolbar you must first agree to these Terms. If you do not, you must not download or use the Toolbar.

'Farnell' means Premier Farnell UK Limited, a company registered in England and Wales under number: 860093, whose registered office is at 150 Armley Road, Leeds LS12 2QQ, UK.

1.1 Licence

1.1.1 Farnell gives you a personal, limited licence to use the Toolbar solely for the purpose of enabling you to use and enjoy the benefit of the Farnell website (the Site) in the manner you are entitled to in accordance with the terms of access of the Site (the Terms of Access).

1.1.2 The licence granted to you to use the Toolbar is:

  • personal
  • royalty-free
  • non-assignable
  • non-exclusive
  • revocable.

1.1.3 You may not (and may not allow anyone else to) copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the Toolbar or any part of it, unless and to the extent that doing so is expressly permitted or required by law.

1.1.4 You may use the Toolbar to access the Site in accordance with the Terms of Access for the purposes of your own business but may not reproduce, duplicate, copy, sell or otherwise exploit for any commercial purpose the Toolbar without the express prior written consent of Farnell.

1.1.6 You must not use the Toolbar for any illegal, immoral, derogatory or offensive purpose.

1.2 Exclusions of Warranties and Limitations of Liability

1.2.1 Nothing in these terms shall exclude or limit any warranty or liability for loss which cannot be lawfully excluded or limited by applicable law. In particular, Farnell does not limit its liability for:

  • breach of the Company’s obligations under section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982;
  • for personal injury or death arising as a result of the Company’s negligence
  • under Section 2(3) of the Consumer Protection Act 1987;
  • for fraud, including fraudulent misrepresentation.

Nothing in these terms shall affect the rights of anyone who deals as a ‘consumer’ as defined in the Unfair Contract Terms Act 1977.

1.2.2 Subject as set out in 1.2.1 above: The Toolbar is provided free of charge and you expressly acknowledge that your use of it is at your risk and that it is provided ‘as is’ and ‘as available’. In particular, Farnell does not warrant to you that:

  • The use of the Toolbar will be secure or error-free;
  • The Toolbar will be available on an uninterrupted or timely basis;
  • Defects in the operation or functionality of the Toolbar will be corrected;
  • The Toolbar will be free from bugs, viruses, worms or Trojan horses. You acknowledge that it is your responsibility to maintain adequate security and protection within your own systems. Any material downloaded or obtained through the use of the Toolbar is done at your discretion and risk and you will be solely responsible for any damage to your computer system or any loss of data or other property which results from any download or the use of any such material or the Toolbar. All other warranties and representations of any kind, express or implied, including any warranties of fitness for purpose or quality, are expressly excluded.

1.2.3 Neither Farnell nor any of its subsidiaries, affiliates, associates or licensors shall be liable to you (whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise) for any injury, damage or direct or indirect or consequential loss (including any loss of profit, loss of use, loss of data, computer downtime, depletion of goodwill, business interruption, loss of opportunity or loss of contract) however arising and regardless of whether Farnell (or any of its subsidiaries, affiliates, associates or licensors) was or should have been aware of the possibility of such loss.

1.3 Ceasing use of the Toolbar

1.3.1 You can cease using the Toolbar (and delete it from your systems) at any time.

1.3.2 We can require you to stop using the Toolbar at any time if we consider that you are in breach of these Terms of Use or the Terms of Access. If we ask you to do so, you will immediately and permanently delete the Toolbar from your systems.

1.4 General

1.4.1 There may from time to time be updates to the Toolbar which are designed to improve, enhance and develop further the Toolbar and which may take the form of bug fixes, enhanced functionality or new versions. Any such update will be made available on the Site on these Terms. Farnell is under no obligation to supply any such update.

1.4.2 Nothing in these Terms gives you any right to use the Farnell trademark or logo other than as part of the Toolbar.

Your access to and use of the Site is subject to the terms of access which are posted on the site and which can be found: Here.

We may change the Terms of Access from time to time. Whenever you access the Site, you agree to comply with the terms that apply at that time.
